Effective 24 September 2026
Agreement and who you contract with
These Terms and Conditions (“Terms”) are a binding agreement between you — the individual or business using TFM Nexus — and TFM NEXUS (“Nexus”, “we”, “us”), a business established and operating from Bulawayo, Zimbabwe.
By creating an account, starting a free trial, or continuing to use TFM Nexus you accept these Terms. If you do not accept them, do not use the service.
You contract with TFM NEXUS for the software and the service behind it. Our payment provider handles checkout, tax and receipts on our behalf (clause 6); that does not make it your supplier of the software.
What TFM Nexus is
TFM Nexus is a cloud-based Business Operating System for retail, food, butchery, pharmacy, fuel, agriculture, education, hardware, salon, boutique, warehouse and similar businesses. Depending on your plan it provides point-of-sale tills, barcode and scale support, cash drawer and receipt printing, stock, supplier and purchase-order control, customer and credit accounts, accounting and financial reports, CRM, multi-branch and cashier management, HR, attendance and payroll, an AI assistant, plus mobile and offline operation that queues sales and syncs them when the connection returns. The plan descriptions on our pricing page form part of what we supply.
Who may use the service
You confirm that you are at least 18 years old and that, if you sign up on behalf of a business, you have authority to bind that business to these Terms.
You must give accurate information when you register — business name, industry, branches, contact details and billing address — and keep it up to date. We rely on it for invoicing, tax and support.
Your accounts, staff and credentials
You are responsible for keeping your login details confidential and for all activity under your workspace. Nexus lets owners and managers create staff accounts — branch managers, cashiers and other roles — each limited to the permissions and branch you assign. You decide who has access, and you are responsible for their actions.
Remove a staff member's access when they leave or change role. If you believe your account has been used without your permission, tell us immediately at tatendamahowabuz@gmail.com.
Free trial, plans, billing and cancellation
Free trial. Every new workspace starts with a 30-day free trial with all features unlocked, so you can see the whole system before you pay. No card details are required to start it, and you are not charged automatically at the end of the trial.
Plans and billing. After the trial you choose a plan. Subscriptions are billed in advance, monthly or yearly, in the currency shown at checkout, and renew automatically for the same period until you cancel. Prices exclude any tax calculated at checkout.
Upgrades and downgrades. An upgrade takes effect immediately and is charged on a pro-rata basis. A downgrade takes effect at the end of the period you have already paid for, so you keep everything you paid for.
Cancellation. You can cancel at any time. Access continues to the end of the paid period and then stops; you can export your data up to that point.
Plan limits. If your workspace goes over the limits of its plan (users, branches, products or records), we do not delete anything. Your existing records stay available and exportable, while new records of that type are paused until you move to a larger plan or free up capacity.
Payments
TFM NEXUS is the seller of every TFM Nexus subscription. Payments are processed securely by Paynow, a payment gateway in Zimbabwe that accepts EcoCash, OneMoney and cards. Questions about your subscription, billing or refunds come to us.
Your use of Paynow to make a payment is also subject to Paynow's own terms, available at docs.paynow.co.zw/terms-and-conditions.
We never ask you to send card details by email, WhatsApp or in chat, and we do not see or store your full card number.
Acceptable use
You must not:
- use the service unlawfully, or to sell goods, services or currency unlawfully;
- commit or facilitate fraud, theft, money laundering, or the sale of stolen goods, including through till sales, refunds or credit accounts;
- send spam, or contact customers with unsolicited marketing using data held in Nexus;
- infringe anyone's intellectual property, privacy or data-protection rights;
- probe, scan or test the security of any system or account you are not authorised to use, or attempt to gain access to another business's workspace;
- upload malware or otherwise interfere with the service, its data, or its security controls, including tampering with plan, permission or branch limits;
- reverse-engineer, decompile, or copy the software or its documentation;
- resell, sub-license, rent or redistribute access to the service outside your own business;
- open trials or accounts for a business you are not entitled to represent.
The Nexus AI assistant
Nexus includes AI features that answer questions about your business, draft messages and documents, summarise reports and help with forecasting. By using them you accept that:
- you are responsible for the prompts and data you submit, and for how you use the output;
- AI output can be inaccurate, incomplete or out of date. Check figures before you act on them, and do not rely on Nexus AI for regulated advice — tax, legal, medical or investment — without a qualified professional;
- you must have the rights to any content you upload, and you must not use the AI to create unlawful content, deceptive deepfakes, hate speech, material exploiting anyone, malware, or instructions to harm people, animals or property;
- you must not attempt to bypass the safeguards on the AI features;
- we may monitor, filter, refuse or remove AI output, and may restrict or suspend AI access, to keep the service safe and within these Terms; and
- if you believe AI output in Nexus infringes your rights, tell us at tatendamahowabuz@gmail.com and we will investigate and can remove the material; repeated infringement can lead to restriction of access.
Intellectual property and your licence
TFM Nexus — its software, interface, design, branding, documentation and report structures — is owned by TFM NEXUS and its licensors and is protected by law. Nothing transfers ownership to you.
We grant you a limited, non-exclusive, non-transferable and revocable licence to use the service for your own business operations for as long as your subscription is active. You get no other rights. Ideas and feedback you send us may be used to improve the product without payment to you.
Your business data and content
Sales, stock, customer, staff and financial records you put into TFM Nexus belong to you. You grant us a limited licence to host, store, process and display that data only to provide the service to you and your branches, to back it up, and to keep it secure.
We do not sell your business data. We disclose it only to the providers listed in our Privacy Notice, or where we are required to by law.
You can export your records at any time while your workspace is active. If your account ends, we hold your data for about 30 days so you can export it, then delete or anonymise it. You can ask us to delete it sooner at tatendamahowabuz@gmail.com, subject to records we must lawfully keep.
Availability and no warranty
We run TFM Nexus on a commercially reasonable basis and design the till, offline queue and sync features for real trading conditions, including power cuts and unstable connections. Even so, we do not guarantee that the service will be uninterrupted, error-free, or free of delays caused by network failures, device faults, third-party providers, or maintenance. The service is supplied “as is” to the fullest extent the law allows, and we do not exclude any liability that cannot lawfully be excluded.
Suspension and termination
We may suspend or end your access, temporarily or permanently, if you materially breach these Terms, if a subscription is not paid, if your workspace presents a security or fraud risk, or if you repeatedly and seriously misuse the service. Where it is practical and safe to do so we will tell you why and give you a chance to put it right. You can end your subscription at any time under clause 5. When access ends, your right to use the service stops and your data is handled as described in clause 10.
Refunds
Refunds follow our Refund Policy, which forms part of these Terms. In short: you have 14 days from the date of an order to request a refund for a change of mind, and refund requests are handled by our payment provider.
Liability
To the fullest extent the law allows:
- we exclude all implied warranties, conditions and representations about the service;
- our total liability for any claim connected with the service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim; and
- we are not liable for loss of profit, revenue, goodwill, anticipated savings, business interruption, or for indirect or consequential loss.
Nothing in these Terms limits or excludes our liability for fraud, for death or personal injury caused by our negligence, or for anything else that cannot lawfully be limited.
Indemnity
If a claim is brought against us because of your use of the service, your business data, your breach of these Terms, or your violation of someone else's rights, you will cover our reasonable costs and losses arising from that claim, provided we tell you promptly about it and let you take part in defending it.
Governing law and disputes
These Terms are governed by the laws of Zimbabwe, and the parties submit to the jurisdiction of the courts sitting in Bulawayo, Zimbabwe. Either party may still apply for urgent interim relief where it must. Before going to court, please raise the issue with us in writing at tatendamahowabuz@gmail.com so we have the chance to resolve it directly.
Changes to these Terms
We may update these Terms as the product, the law, or our payment arrangements change. The current version is always published here with its effective date, and for material changes we will notify workspace owners by email or in the app. Using TFM Nexus after the effective date means the updated Terms apply.
